User Agreement

1. Introduction
Welcome to SmartBuy (“SmartBuy,” “we,” “us,” or “our”). This User Agreement (“Agreement”) governs your access to and use of the SmartBuy mobile application, website, and all related services (collectively, the “Platform”).
SmartBuy is an online marketplace operating exclusively in Ghana, providing users with access to new and used electronics and gadgets, including but not limited to mobile phones, laptops, cameras, and accessories.
By accessing or using SmartBuy, you confirm that you have read, understood, and agreed to be legally bound by this Agreement. If you do not agree, you must discontinue use of the Platform immediately.
2. Eligibility
To use SmartBuy, you must:
Be at least 18 years old
Be legally capable of entering into binding agreements
Provide accurate and truthful registration information
Use the Platform in compliance with Ghanaian laws and regulations
SmartBuy reserves the right to suspend or terminate access if eligibility requirements are not met.
3. Nature of the Platform
3.1 Exclusive Seller Model
SmartBuy operates under a single-seller model
SmartBuy is the sole seller of all products listed on the Platform
Third-party users are not permitted to sell, list, or advertise products
Any attempt to sell independently on SmartBuy is strictly prohibited
All products displayed are owned, sourced, or controlled by SmartBuy unless otherwise explicitly stated.
4. Role of Agents
SmartBuy may engage authorized Agents to assist with logistics and delivery.
Agents:
Do not sell products.
Do not own products.
Act as delivery, help buyers and fulfillment partners.
Must follow SmartBuy operational and conduct guidelines.
SmartBuy is not responsible for delays caused by unforeseen logistical circumstances but will take reasonable steps to resolve delivery issues.
5. User Accounts
5.1 Account Registration
Users may be required to create an account to place orders, track deliveries, or access certain features. You agree to
Provide accurate and complete information
Keep login credentials confidential
Notify SmartBuy immediately of unauthorized account activity
5.2 Account Responsibility
You are responsible for all actions taken through your account. SmartBuy is not liable for losses arising from unauthorized access caused by user negligence.
6. Product Listings and Information
SmartBuy makes reasonable efforts to ensure product information is accurate; however:
Product images are for illustration purposes where applicable
Specifications may vary slightly due to manufacturing updates or availability
Availability is subject to stock limitations
SmartBuy reserves the right to modify or remove listings at any time without notice.
7. Purchasing and Payments
All purchases are made directly from SmartBuy
Payments are processed through approved third-party payment providers such as Paystack payment.
SmartBuy does not store customers’ payment card details
Orders are confirmed only after successful payment processing.
8. Pricing and Shipping
All prices are set by SmartBuy
Prices are displayed in applicable local currency
Shipping fees may vary based on product weight, size, and delivery location within Ghana
Delivery timelines are estimates and may be affected by weather, traffic, or operational constraints.
9. User Conduct
Users agree to:
Use the Platform lawfully and respectfully
Avoid abusive, fraudulent, or harmful behavior
Not misuse the Platform for unauthorized commercial purposes
Not interfere with Platform operations or security
Violations may result in account suspension or termination.
10. Returns, Refunds, and Complaints
Return and refund policies, where applicable, will be communicated separately within the App or on the website.
SmartBuy reserves the right to:
Inspect returned items
Reject returns that do not meet stated conditions
Limit repeated or abusive refund requests
11. Policy Enforcement
SmartBuy may take the following actions for violations of this Agreement:
Issue warnings
Restrict access to features
Suspend or permanently terminate accounts
Pursue legal action where necessary
All enforcement decisions are final.
12. Intellectual Property Rights
All content on SmartBuy—including logos, trademarks, text, images, software, and designs—is owned by or licensed to SmartBuy.
Users may not copy, reproduce, distribute, or modify any Platform content without prior written consent.
13. Limitation of Liability
To the maximum extent permitted by Ghanaian law:
SmartBuy is not liable for indirect, incidental, or consequential damages
SmartBuy is not liable for delays caused by circumstances beyond reasonable control
Use of the Platform is at the user’s own risk
14. Indemnification
You agree to indemnify and hold harmless SmartBuy, its owners, employees, and agents from any claims, losses, or damages arising from:
Your use of the Platform
Your violation of this Agreement
Your misuse of products or services
15. Dispute Resolution
All disputes shall be resolved through binding arbitration under the laws of Ghana, unless otherwise required by applicable law.
Users waive the right to participate in class-action lawsuits.
16. Termination
SmartBuy may suspend or terminate your account at any time if:
This Agreement is violated
Fraudulent or harmful activity is detected
Required by law or regulatory authority
Termination does not affect obligations incurred before termination.
17. Changes to This Agreement
SmartBuy may update this Agreement at any time. Continued use of the Platform after changes constitutes acceptance of the revised terms.
Users are encouraged to review this Agreement regularly.
